Even as Mission was creating Dogwood in secret, CEO Ron Paulus was trying to buy support for the HCA sale by quietly promising various local nonprofits that they would receive money from the trust.

This is simply not a true statement.  Dr. Paulus never had any such conversations nor was Dogwood Health Trust created “in secret.”  Dogwood Health Trust’s bylaws, articles of incorporation and criteria for and nomination of Board members are all posted on its public website.  Further, only the Mission Health Board had this legal and fiduciary responsibility as Dogwood Health Trust is the successor to the not-for-profit Mission Health.  The Mission Health Board, by a vote, set up a committee of the board to select the initial Dogwood Health Trust Board, and through that vote, the first six Board members were appointed.  Subsequently, those Board members added three additional members. The current nine members will select all additional members.
